Terms of Service
Commercial terms for access to Clear Treasury’s transportation revenue-control platform and assisted services.
Agreement and eligibility
These Terms govern use of services supplied by Clear Treasury Incorporated (Clear Treasury). A signed order form, statement of work, or other written commercial agreement may add to or override these Terms. The customer represents that its authorized users may enter business data and act for the customer.
Service and customer responsibilities
- Clear Treasury provides software and assisted workflows for forecasting, reconciliation, reporting, and related analysis.
- The customer is responsible for source-data accuracy, user access, lawful instructions, and review of outputs before operational or financial reliance.
- Clear Treasury is not a bank, accounting firm, law firm, tax adviser, government agency, or payment processor. Reports are decision-support tools, not audits or legal, tax, accounting, or investment advice.
Subscriptions, fees, and taxes
Fees, included users, implementation services, renewal terms, and payment timing are stated in the applicable order. Unless the order says otherwise, subscriptions renew monthly, fees are non-refundable except where required by law, and the customer is responsible for applicable taxes. Failed payments may result in a seven-day grace period followed by suspension. Cancellation takes effect at the end of the paid period unless the order says otherwise.
Data and intellectual property
The customer retains ownership of Customer Data. The customer grants Clear Treasury the limited rights needed to host, process, secure, back up, transmit, and analyze Customer Data to provide and improve the contracted service. Clear Treasury owns its platform, methods, documentation, and de-identified operational learnings that cannot reasonably identify the customer or an individual.
Confidentiality and security
Each party will protect the other party’s confidential information using reasonable care and use it only for the agreement. Clear Treasury maintains tenant isolation, role-based access, encryption in transit, provider-managed encryption at rest, audit records, backups, incident procedures, and periodic access reviews.
Availability, warranties, and liability
The service is provided using commercially reasonable care. Except for express written commitments, the service is provided as available and implied warranties are disclaimed to the extent permitted by law. Neither party is liable for indirect, special, incidental, exemplary, or consequential damages. Each party’s aggregate liability is limited to fees paid or payable for the affected service during the twelve months before the event, except where a limitation is prohibited by law or a signed agreement states otherwise.
Termination and contact
Either party may terminate for an uncured material breach after reasonable written notice. On termination, access ends and Customer Data is handled under the retention schedule and applicable order. Questions and legal notices may be sent to legal@cleartreasury.ai.
